注意：船东与我司签约价格为投标价格减0.04美元/吨，即投标价格需要包含给与我司的0.04美元/吨。

Freight to be paid by charterers to owner’s nominated bank account within 15 (fifteen) bank working days after completion of discharging wz receive the invoice or debit note of freight and signing/releasing bill(s) of lading with marked‘freight payable as per charter party’.

Production And Environmental Protection

During the term of this Contract, Owners shall comply with international conventions, as well as the laws, regulations, and applicable rules of the competent authorities in China and any countries or territories where operations and activities are conducted. Owners shall ensure that its business, along with the qualifications, licenses, and certificates related to the operation, safety, and technical aspects of its vessels, remain valid and effective. Owners shall also conduct production and environmental protection activities in full compliance with applicable legal requirements. In the event of an accident involving vessel safety, environmental damage, personnel injury, or pollution, Owners shall properly manage the situation and bear all losses, costs, or liabilities resulting from such incident(s). Owners shall immediately notify Charterers of any accident (Charterer' s emergency contact number is [+86-180****7888]). If the accident causes cargo loss, damage, or other losses to Charterers, Owners shall be liable for compensation.

Anti-Bribery and Anti-Corruption Clause

The counterparty should comply with all applicable anti-corruption laws and regulations; and not to offer or give, directly or indirectly, any gift, loan, fee, reward, services or anything more than nominal value or any other undue advantage or prospect thereof, present or promise to any staff and any related persons of China Energy Investment Corporation who conclude transactions or perform the contract, and those who have any authority or influence over the transaction contemplated hereunder.

The counterparty hereof represents and warrants that none of its owners, partners, shareholders, directors has any financial or any other interest which would in any manner or degree be in conflict with the performance of this agreement.

The counterparty guarantees that once to breach the terms and conditions hereunder, the counterparty shall bear all the legal consequences and liabilities arising therefrom.
