1 Instructions to Tenders

1. 招标说明

1.1 This tender is conducted in accordance with the "Tendering and Bidding Law of the People's Republic of China" and the "Tendering and Procurement Management Measures of China Harbour Engineering Co., Ltd".

1.1本招标依照《中华人民**国招标投标法》、《中国****公司招标采购管理办法》的相关要求进行。

1.2 All Tenderers shall carefully read and fully understand the Tender Documents. In case of any questions, please contact the Employer for clarification.

1.2各投标单位应仔细阅读招标文件并认真领会，如有疑问请联系招标人，由招标人负责解释。

1.3 Tenderers shall first complete registration on the Overseas Procurement Section of the CCCC Procurement Platform (https://hwsp.****.cn/). Tender submission, clarification, and other related activities may only be conducted after approval by the Procurement Department of China Harbour Headquarters.

1.3供应商应首先完成在中交招采网海外采购专区（https://hwsp.****.cn/）上的注册，****采购部审批后才能开展投标、澄清等工作。

1.4 Availability of Tender Documents: Tenderers shall download the Tender Documents from the Overseas Procurement Section of the CCCC Procurement Platform (hereinafter referred to as the “Procurement Platform”). The Tender Documents are provided free of charge.

2、项目概况

2.1 Project Name: Zulti South Titanium Mining, Beneficiation and Transportation Project

2.1 项目名称：南非钛矿采选及运输项目

2.2 Project Overview: The project involves the construction of a titanium iron sand mining, beneficiation, and transportation production line at Zulti South, including: one dry mining unit with a capacity of 2,500 t/h; one titanium iron sand beneficiation plant with a processing capacity of 2,500 t/h; a 42 km slurry pipeline; and associated water supply and power supply systems.

2.2 项目概况：在Zulti South**1条钛铁砂矿采选和运输生产线，包括2500吨/小时干采单元，一座处理能力2500吨/****铁矿砂选矿厂，42公里的管道以及配套的水电系统。

3. Tender Scope

3、招标内容

3.1 China Harbour Engineering Company Ltd. (CHEC, hereinafter referred to as the “tenderer”) intends to procure Stacker through open competitive tendering. For detailed requirements, please refer to Part II of this document — Bill of Quantities (BOQ).

3.1中国****公司（英文缩写CHEC，以下简称招标人）以公开招标的方式采购堆料机，具体内容见本文件第二节——工程量清单。

3.2 Special Note: Through this Tender and subsequent contract negotiations, the Employer shall finalize material specifications, pricing, and after-sales service arrangements. The quantities specified in this Tender are provisional, and the final quantities for settlement shall be subject to the drawings approved by the Employer.

3.2特别说明：招标人通过本次招标及随后的合同谈判，锁定物资型号、物资价格及后期的售后服务方案。本次招标的数量为暂定数量，具体实际结算数量以甲方核定后的图纸数量为准。

4.Tender Qualification Requirements

4.投标人资质要求

4.1 Tenderers shall be legally registered entities with independent legal person status and shall maintain a fixed place of business.

4.1投标人必须具有独立法人资格，有固定的营业地址。

4.2 Tenderers shall be professional manufacturers with the capability to fulfill the requirements of the Tender and to supply the Goods and Services specified herein.

4.2投标人必须是有能力履行招标内容要求和提供招标货物及服务的专业制造商。

4.3 Consortiums and agents shall not be permitted to participate in this tender.

4.3本次招标不接受联合体和代理商投标。

4.4 Production capacity requirements: Tenderers shall have sufficient production capacity to meet the supply requirements of this Project.

4.4生产能力要求：满足本项目供货要求。

4.5 Financial capability requirements: Tenderers shall not be subject to takeover, freezing, or bankruptcy proceedings, and shall provide audited financial statements for the past three (3) years.

4.5财务能力要求：财务没有被接管、冻结、破产状态，出具近三年会计审计报表。

4.6 Quality assurance requirements: tenders shall comply with the ISO quality management system certification requirements.

4.6质量保证能力要求：符合ISO质量认证体系。

4.7 Supply performance requirements:Tenderers shall have proven performance in supplying similar projects both domestically and internationally.

4.7供货业绩要求：国内和国外类似项目业绩。

4.8 Credit requirements: Tenderers shall possess valid credit documentation and shall not have any adverse credit records.

4.8履约信用要求：有相关信用证明材料，无不良记录。

5、进口限制

The Goods and after-sales services provided by the Tenderer shall originate from eligible source countries that are not subject to import restrictions imposed by South Africa. Payments under this Contract shall be limited solely to such Goods and Services.

投标人所提供的物资及其售后服务，其来源为不受南非进口限制的合格来源国，本合同的支付也仅限于这些物资和服务。

6.Cost of Tender

6、投标费用

The Tenderers shall bear all costs and expenses incurred in the preparation and submission of their Tenders, regardless of the outcome of the tender process. The Employer shall not be liable for any costs or claims arising from the tender.

无论本次投标结果如何，投标人均应承担在准备本次投标过程中可能产生的一切费用。招标人对因投标引起的任何索赔不承担责任。
