1. With regard to the Procurement for the Selection of Suppliers for General Legal and Tax Advisory Services (hereinafter referred to as the Bidding Project ), China Investment Corporation (CIC), the project implementing agency (hereinafter referred to as the Tenderee ) of this Bidding Project, intends to apply its own funds to shortlist domestic and overseas legal and tax advisory service provider (hereinafter referred to as the Bidders ) by means of international open bidding for providing legal and tax advisory service (hereinafter referred to as the Services ) on the related overseas businesses of the Tenderee and its subsidiaries and branches.
2. CITIC International Tendering Co., Ltd. (hereinafter referred to as the Tendering Agent ), entrusted by the Tenderee of this Bidding Project, hereby invites bids from qualified Bidders for the Bidding Project. There are four (4) tender lots under this Bidding Project as follows:

A Bidder may bid for one or multiple tender lots at the same time, and may be shortlisted for one or more of these tender lots if the Bidder meets the selection requirements of the respective tender lot(s); a Bidder s failure being shortlisted for one tender lot does not impact its being shortlisted for another tender lot.
A Bidder may submit only one bid in its own name. If a Bidder submits or participates in more than one bids, all bids in which it is involved will be disqualified and rejected. If multiple offices or branches under the same brand submit bids for the same tender lot at the same time, all relevant bids will be disqualified and rejected.
The duration of services in the above table refers shall be three (3) years since the date of signing the contract. If the Bidder starts to provide services for any specific legal and tax service assignment, its service duration for that specific assignment shall be consistent with the duration of the corresponding legal service project/assignment/agreement;
For more details of the service requirements, please refer to Section V. Procurement Requirements of this Bidding Documents.
3. Bids submitted by the Consortium are not acceptable for the Bidding Project.
4. Bidders shall meet the following qualification requirements:
Lot 1: Overseas General Legal Advisory Services
(1) The Bidder shall be a law firm or its branch based in the PRC or in countries/regions having normal trade relations with the PRC, legally established in accordance with the laws of their own countries/regions, legally and financially independent, legally operating, and independent from the Tenderee and/or the Tendering Agent;
(2) The Bidder shall have the authority to sign contracts independently and capable of fully performing the contracts;
(3) The Bidder shall have necessary information security measures and confidentiality management capabilities;
(4) The Bidder shall have not been investigated or punished by any court or regulatory agency for violations of laws or regulations in the past three (3) years (From June 5, 2023 to the deadline for bid submission);
(5) The Bidder and/or the global offices under its law firm brand (not the individual lawyer(s) employed by the Bidder) shall be ranked in Band 1 (Tier 1), Band 2 (Tier 2) or Band 3 (Tier 3) in the latest Chambers (Global) or IFLR 1000 annual rankings of the United States, the United Kingdom or the Hong Kong SAR in the areas of equity capital markets, debt capital markets, derivatives or financial services regulation;
(6) The Bidder and/or the global offices under its law firm brand must hold valid licenses to practice law in the United States, the United Kingdom and the Hong Kong SAR, and must be qualified issue legal opinions on matters relating to the aforementioned jurisdictions (the Bidder must provide valid professional qualification certificates of the relevant team members, which shall cover all of the aforementioned jurisdictions);
(7) Bidders who have been included in the tendering authority s blacklist of suppliers and are currently subject to a suspension period are not permitted to participate in this tender process.
Lot 2: Domestic General Legal Advisory Services
(1) The Bidder shall be a law firm or its branch based in the PRC, legally established in accordance with the laws of their own countries/regions, legally and financially independent, legally operating, and independent from the Tenderee and/or the Tendering Agent;
(2) The Bidder shall have the authority to sign contracts independently and capable of fully performing the contracts;
(3) The Bidder shall have necessary information security measures and confidentiality management capabilities;
(4) The Bidder shall have not been investigated or punished by any court or regulatory agency for violations of laws or regulations in the past three (3) years (From June 5, 2023 to the deadline for bid submission);
(5) The Bidder and/or the various offices under its law firm brand (not the individual lawyer(s) employed by the Bidder) shall be ranked in Band 1 (Tier 1), Band 2 (Tier 2) or Band 3 (Tier 3) in the latest Chambers (Greater China Region) or IFLR1000 (China) annual rankings in the areas of M A, Banking Finance, Dispute Resolution, or Employment Law;
(6) The Bidder must hold valid license to practice law in China, and must be qualified issue legal opinions on matters relating to PRC law (the Bidder must provide valid professional qualifications certificates for the Bidder and the relevant team members);
(7) Bidders who have been included in the tendering authority s blacklist of suppliers and are currently subject to a suspension period are not permitted to participate in this tender process.
Lot 3: Overseas Tax Services
(1) The Bidder shall be an accounting firm or other professional tax service institution that provides overseas tax planning and compliance services, from the PRC or from the countries/regions having normal trade relations with the PRC (bids from branches are accepted), legally established in accordance with the laws of their own countries/regions, legally and financially independent, legally operating, and independent from the Tenderee and/or the Tendering Agent.
(2) The Bidder shall have the authority to sign contracts independently and capable of fully performing the contracts;
(3) The Bidder shall have necessary information security measures and confidentiality management capabilities;
(4) The Bidder shall have not been investigated or punished by any court or regulatory agency for violations of laws or regulations in the past three (3) years (From June 5, 2023 to the deadline for bid submission);
(5) The Bidder shall have member institutions under the same global brand network in major overseas investment destinations (such as the Americas, Southeast Asia, the Middle East, Europe, Central Asia, or other major countries or regions along the Belt and Road) and be staffed with professional tax service personnel, and shall possess the capability and qualifications to provide professional advisory opinions on matters relating to local tax laws and/or international tax rules, as well as to fulfill relevant local tax filing obligations and communicate with local tax authorities (the Bidder shall provide proof of such member institutions, and shall provide proof of personnel practicing qualifications or corresponding commitments);
(6) The Bidder shall have professional tax personnel within China who possess international tax and cross-border investment tax capabilities and experience, and shall have the ability to liaise with the Tenderee s requirements, coordinate the delivery of services across various countries or regions, and manage progress (the Bidder shall provide proof of personnel valid professional qualifications certificates or corresponding commitments);
(7) Bidders who have been included in the tendering authority s blacklist of suppliers and are currently subject to a suspension period are not permitted to participate in this tender process.
Lot 4: Intellectual Property Legal Services
(1) The Bidder shall be a law firm or intellectual property firm (bids from branches are accepted) based in the PRC, and shall be able to provide legal opinions on matters relating to intellectual property., legally established in accordance with the laws of their own countries/regions, legally and financially independent, legally operating, and independent from the Tenderee and/or the Tendering Agent;
(2) The Bidder shall have the authority to sign contracts independently and capable of fully performing the contracts;
(3) The Bidder shall have completed the filing of trademark agency with the China National Intellectual Property Administration (CNIPA);
(4) The Bidder shall have necessary information security measures and confidentiality management capabilities;
(5) The Bidder shall have not been investigated or punished by any court or regulatory agency for violations of laws or regulations in the past three (3) years (From June 5, 2023 to the deadline for bid submission);
(6) The Bidder and/or the various offices under its firm brand (not the individual members employed by the Bidder) shall be ranked in Band 1 (Tier 1), Band 2 (Tier 2) or Band 3 (Tier 3) in the latest Chambers (Greater China Region) or ALB (China) annual rankings in the areas of intellectual property legal services;
(7) Bidders who have been included in the tendering authority s blacklist of suppliers and are currently subject to a suspension period are not permitted to participate in this tender process.
5. In accordance with the comprehensive evaluation procedures specified in the Bidding Documents, the shortlisted Bidder for each tender lot under this Bidding Project will be separately selected.

6. Interested Bidders may obtain the Bidding Documents of this Bidding Project at 9:00~11:30 a.m. and 1:00~5:00 p.m. CST(China Standard Time), from May 15, 2026 to May 25, 2026 (excluding weekends and public holidays) in the way listed below:
Contact the Tendering Agent (contact details are provided below) to obtain the Registration Form and Information Confidentiality Commitment Letter (or download them in the attachments of the Invitation for Bids) (the content of the Information Confidentiality Commitment Letter shall not be modified), fill in and sign them with official seal or signature, and then send back to the Tendering Agent's email address, attaching a scanned copy of the Power of Attorney issued by the Bidder, as well as a scanned copy of the proof of payment for the cost of the Bidding Documents of RMB 800/USD 110 from the Bidder's company account to the Tendering Agent's account. Please simply indicate the name of the Bidding Project, Bid No. and Lot No. in the transaction postscript when remitting the cost. After having received the above information, the Tendering Agent will send the Bidding Documents to the reserved email address of the Bidder by email.
7. Deadline for Bid submission and time of Bid opening:
10:00 AM (CST(China Standard Time)), June 5, 2026. In the event that both the electronic version and the paper version of the Bids are submitted, the submission time of the electronic version of the Bid shall prevail.

Information Confidentiality Commitment Letter

In view of [ ] ( We ) participating in Procurement for the Selection of Suppliers for General Legal and Tax Advisory Services ( Bidding Project ) of China Investment Corporation ( CIC ), it is inevitable that we will come into contact with confidential information related to the Bidding Project (as defined below). We hereby commit to the confidentiality requirements as follows:
1. Confidential information means all non-public information (including written or unwritten form) related to CIC and its affiliates provided by CIC and its officially entrusted institutions or that we obtained during participation in the Bidding Project, as well as any derivative information generated based on the above information. Notwithstanding any provision to the contrary herein, the following information will not be considered as confidential information, if the information (1) was already in our possession on a non-confidential basis before being disclosed by CIC; (2) became publicly known for reasons other than our violation of this confidentiality commitment or other confidentiality obligations; or (3) was obtained by us on a non-confidential basis from any source outside of CIC, and such source disclosed that information to us without being prohibited by any legal, contractual, or fiduciary obligations owed to CIC.
2. Regarding confidential information, we hereby promise:
(1) We agree to take all necessary measures at our own expense to properly preserve and reasonably use the confidential information, and to keep it strictly confidential.
(2) Except for the necessary Project participants and internal managers responsible for Bidding Project review, evaluation and supervision, no other personnel from our side are allowed to have access to or be informed of relevant confidential information. We commit to causing all of our informed personnel to adhere to the confidentiality obligations under this confidentiality commitment letter, and hold our personnel accountable for any breach of the confidentiality commitment letter.
(3) The confidential information obtained by us will only be used for the purpose of the Bidding Project. Without the prior written consent of CIC and its officially entrusted institutions, we promise not to disclose the confidential information to any third party in any form (including but not limited to direct or indirect, express or implied, intentional or negligent, tangible or intangible ways), and we shall not use the confidential information for our own benefit or for the benefit of any third party.
3. Unless CIC terminates this confidentiality commitment letter in written instrument, our obligations hereunder will remain in effect.
4. We agree that this confidentiality commitment letter and all matters arising out of and related to this confidentiality commitment letter (whether in contract, tort or others) shall be governed by and construed in accordance with the laws of the People's Republic of China. If we or our personnel violate this commitment letter, CIC shall have the right to hold us accountable in accordance with the law. If the parties are unable to settle any dispute arising out of or in connection with this confidentiality commitment letter through negotiation within 30 days, such dispute shall be submitted to the China International Economic and Trade Arbitration Commission ( CIETAC ) for arbitration in Beijing, subject to its rules of arbitration in effect at the time of the submission to arbitration, unless otherwise expressly provided herein. The arbitral tribunal shall consist of three arbitrators, each party shall appoint one arbitrator and the third arbitrator shall be appointed by both parties with mutual agreement as the presiding arbitrator. If no agreement can be reached within the time period required by CIETAC, the presiding arbitrator shall be appointed by the Chairman of CIETAC. The arbitral award shall be final and binding upon both parties.
This confidentiality commitment letter shall become effective upon our signing and delivery.
