一、招标条件Tendering Conditions

东非原油外输管道EPC项目招标人为****，项目资金来源已落实。本招标项目已按要求履行了相关报批及备案等手续，具备招标条件。The project has implemented relevant procedures according to rules, regulations, and laws, as well as the capital has been confirmed. Now we hereby invite your esteemed company to participate in this bid. The tenderee is China Petroleum Pipeline Engineering Company Ltd.

二、项目概况与招标范围 Project Overview and Tendering Scope

2.1项目概况：东非原油外输管道EPC项目起点于乌干达Tilenga CPF（联络线起点），止于坦桑尼亚 Tanga港，总长1539km，其中：干线1443km，联络线96km。乌干达境内392km， 坦桑尼亚境内1147km；全线泵站6座，减压站2座，阀室82座，电伴热站20座（与阀室合建17座，单独建设3座）。该项目业主****公司（上游，联络线部分）****公司。计划工期为27个月。

East African Crude Oil Pipeline EPC Project starts from Tilenga CPF, Uganda (starting point of contact line) and ends at Tanga Port, Tanzania, with a total length of 1,539km, including 1,443km trunk line and 96km connection line. 392km in Uganda and 1147km in Tanzania; There are 6 pump stations, 2 decompression stations, 82 valve rooms and 20 electric tracing stations (17 jointly built with valve rooms and 3 separately built). The project is owned by Total E P (upstream, link line) and Total East Non-Midstream. The planned construction period is 27 months.

2.2 招标范围：本次招标采购物资详见下表 Scope of Supply:

For the materials to be procured by the present Tendering, please refer to the table below.

(1)采购项目：东非原油外输管道项目COI024建筑单体暖通系统。

Name：Building Materials of the Second Batch Steel Structure of East African Crude Oil Pipeline Project.

(2)采购范围以附件1技术文件中暖通设备清单及暖通散材MTO为准。

The scope of the materials to be procured is subject to the Equipment List and HVAC MTO in Attachment 1.

(3)本采办包的技术文件提供了典型站PS1站、PS6站、PRS1站相关文件，投标人提供的设备材料按照以下原则统计：

PS1站与PS4、PS5站相同；

PS6站与PS2、PS3站相同；

PRS1站与PRS2站相同。

投标人提供的设备材料应包含上述所有8个站场。

①业主提供了推荐的品牌，详见附件1技术文件中“CPY preferred vendor list”。The owner has provided the preferred vendor list, refer to“CPY preferred vendor list”of Attachment 1 - Technical documents.

②前期调研阶段业主已批复了6个品牌（如下）During the preliminary research stage, the owner(CPY) has approved 6 brands (as follows)：

请注意：以上品牌非强制要求，投标人可选用同等替代品牌，须满足技术文件的标准及要求，且需在授标前经过业主批准。

Please note: The above brands are not mandatory. The bidding suppliers can choose equivalent alternative brands, but they must meet the standards and requirements specified in the technical documents, and they need to obtain the approval of the owner before the awarding of the contract.

Package division: Package A and B.

Package A: PS3,4,5,6 ,prs1,2 (TANZANIA)

Package B: PS1,PS2 (UGANDA)

The format of the tenderer’s quotation sheet shall be quoted separately in accordance with Package A and Package B , and the same unit price shall be applied for the same materials in Package A and B. Failure to respond will be solely at the Tenderer's risk and may resulted as rejection of its bid by the Tenderee.

2.3 交货地点 Delivery place：

A包、B包：国内主要**指定地点交货（含13%增值税）

Package A and Package B: Delivered at Named Place in Main Domestic Port (Including 13% VAT), RMB prices.

国际投标人INTERNATIONAL suppliers:

Package A: CIF Dares Salaam Port, Tanzania; Package B: CIF Mombasa Port, Kenya, USD prices.

2.4 交货期 Delivery time：

最短交货期。

The Tenderer should provide its shortest delivery time.

三、投标人资格要求 Tenderer qualification requirement

3.1 本次招标 不接受 联合体投标。

Bids from joint venture are not accepted.

3.2 投标人要求具有独立法人资格，为此招标项目的专业生产、制造、安装、调试的制造商、代理商或贸易商，对其提供的货物和服务负全部责任；在法律和财务上独立，合法运作并独立于采购需求人（招标代理机构）的制造商、代理商或贸易商。

The Tenderer are required to possess independent legal person status and must be manufacturers, agents, or traders specialized in the production, manufacturing, installation, and commissioning of the goods or services for this project. They shall assume full responsibility for the goods and services they provide. The Tenderer must be legally and financially independent, operate lawfully, and remain separate from the procurement requester (tendering agency) as a manufacturer, agent, or trader.

3.3 投标人须提供其相关企业资质（包括但不限于营业执照或注册证书等）及ISO9001相关体系认证，具有与本采购项目相应的供货能力。代理商及贸易商须提供暖通设备清单（Equipment list）中涉及的制造商的ISO9001质量管理体系认证证书及相关资质文件（包括但不限于营业执照及注册证书等）。

The bidders are required to provide their relevant enterprise qualifications (including but not limited to business licenses or registration certificates, etc.) and ISO9001-related system certifications, and have the corresponding supply capabilities for this procurement project. The agents and traders are required to provide the ISO9001 quality management system certification certificates and relevant qualification documents (including but not limited to business licenses and registration certificates, etc.) of the manufacturers listed in the HVAC equipment list.

3.4 投标人需在投标文件中如实写明中标后该批货物的生产品牌，生产地址，如生产、****基地。如投标人为制造商，其生产、****基地与投标人营业执照中的注册地址不同，需提供生产、制造加工地的资质，不接受生产分包。

The bidder is required to clearly state in the tender document the production brand, production location (including manufacturing and processing bases) of the goods for this batch after winning the bid. If the bidder is a manufacturer and its production and manufacturing base is different from the registered address on the business license, it is required to provide the qualifications of the production and manufacturing location. Subcontracting of production is not accepted.

3.5财务要求：Financial requirement

中国境内的投标人须提供近3年（2022-2024年度）的财****事务所或审计机构审计的财务会计报表，包括资产负债表、现金流量表、利润表和财务状况说明）。成立日期晚于要求年份的，从成立年起计算。如投标人的成立时间不足一个财务年度的或成立时间超过一个财务年度但尚未完成该年度财务审计的，****公司出具的财务报表（加盖公章）。

中国境内及境外的投标人，需在其投标文件中提供如下承诺函：我公司财务状况良好（其中资产负债率小于100%），没有处于财产被接管、破产或其他关、停、并、转状态；我公司不存在进入清算程序、被宣告破产或其他丧失履约能力的情形。如我公司中标，招标人有权在****公司完整的财务报告及财务状况，****公司存在上述情况或风险，****公司的中标资格。

Bidders within China must provide their financial reports for the past three years (2022-2024). These reports should be certified by an accounting firm or an auditing institution and include balance sheets, cash flow statements, profit statements, and financial condition explanations. If the establishment date is later than the required year, the calculation should start from the establishment year. If the bidder's establishment period is less than one financial year or if the financial audit for the current year has not been completed, the company must provide its financial statements (with the company seal).

For both domestic and overseas bidders, they must include the following commitment letter in their bid documents: Our company has a sound financial situation (with an asset-liability ratio less than 100%), and we are not in a state of property takeover, bankruptcy, or other closures, suspensions, mergers, or transfers. We do not have entered into liquidation procedures, been declared bankrupt, or otherwise lost our ability to perform. If we are awarded the contract, the tenderer has the right to review our complete financial reports and financial conditions before the contract is signed. If it is found that we have the aforementioned situations or risks, the tenderer has the right to cancel our qualification for winning the bid.

3.6 信誉要求（适用于中国厂家）：Credit requirements:（Applicable to Chinese Suppliers）

国内投标人在“国家企业信用信息公示系统”（www.****.cn）未被列入经营异常名录和严重违法失信企业名单（已经移出的按照未列入执行）；在信用中国网站（www.****.cn）无异常；2022年1月1日至投标截止时间，投标人或其法定代表人（单位负责人）无行贿犯罪行为（在“中国裁判文书网”网站（wenshu.****.cn）查询）。提供相应的查询截图并加****委员会可以在现场进行查询并以现场查询结果为准）。标书代写

The Tenderer has not been listed in the serious illegal and trust-breaking enterprises or trust-breaking enforcement list In the National Enterprise Credit Information Publicity system (http://www.****.cn)and credit China website (www.****.cn). The Tenderer or its legal representative (responsible person of the entity) must have no record of bribery crimes between January 1, 2022, and the bid submission deadline. The verification shall be conducted through the query on the “China Judgments Online” website (wenshu.****.cn).The Tenderer shall submit relevant search screenshots bearing the company's official seal (The evaluation committee reserves the right to conduct real-time verification during the evaluation process, and any such verification results shall constitute definitive evidence).

3.7入网要求（适用于中国厂家）（Applicable to Chinese Suppliers）

国内投标人如****集团有限公司入网供应商，“**泽”入网状态应为正常（仅针对入网企业），未****集团有限公司/中国石****公司列入黑名单、暂停或取消投标资格或交易权限，提供相应的查询截图并加****委员会可以在现场进行查询并以现场查询结果为准）。

The Tenderer has not been suspended /disqualified the bid qualification by CNPC. The status of suppliers list in CNPC should be "normal". The Tenderer shall submit relevant search screenshots bearing the company's official seal (The evaluation committee reserves the right to conduct real-time verification during the evaluation process, and any such verification results shall constitute definitive evidence).

3.8 投标人近三年****集团有限公司/中国石****公司所属项目中无重大质量事故、安全事故，且与中国石****公司无法律纠纷，需提供承诺(格式Ⅳ-11．其他承诺)。

The Tenderer shall provide a Commitment stating that: Within the last three (3) years, the Tenderer has not been involved in any major quality incidents or safety accidents in projects affiliated with China National Petroleum Corporation (CNPC)/China Petroleum Pipeline Engineering Co., Ltd. (CPP), and has no ongoing legal disputes with CPP.(Format Ⅳ-11：Other Commitment)

投标人资格要求中的任何一项均为否决项，如有不满足，投标人的投标将被否决。

Any Tenderer can not meet the above requirements should be rejected.

五、投标文件的递交Submission of Bidding Documents

Bidding documents shall be composed of two components, “Technical proposal” and “Commercial proposal”

To enhance confidentiality, the deadline for password submission is 30 minutes after the deadline for document submission. It is recommended that you provide the password within 30 minutes after the document submission deadline (you may use the "scheduled send" function of your email to set the time for the email to be sent).

The overdue delivery of the bid documents will be rejected, and the delivery time shall be subject to the time of designated email ID.
