1、意向受让方挂牌公告期内尽调方式：本项目仅接受挂牌公告期内意向受让方对直升机进行绕机目视检查及查看相关技术资料，意向受让方需在挂牌首日起10个工作日内完成预约，按照转让方要求办理直升机检查相关申请手续及材料，包括但不限于提交《保密承诺函》（详见附件2）并支付交易保证金100万元人民币（或15万美元）****银行账户。直升机检查申请手续办理时间预计较长，约为5个工作日，请意向受让方合理安排尽调时间，如因意向受让方提交申请不满足要求、承租方运营安排无法满足或其它因意向受让方原因导致意向受让方未完成尽调，即视作意向受让方已完成对本项目的尽职调查。
1.The due diligence for the intended transferee during the listing announcement period: This project only permits walk-around visual inspection and viewing the technical documentation of the helicopter by each intended transferee during the listing announcement period. Each intended transferee must complete the reservation within 10 working days from the first day of listing and comply with the transferor’s requirements for handling the helicopter inspection application, including but not limited to submitting the "Confidentiality Commitment Letter"(see appendix 2) and paying a transaction deposit of RMB 1 million (or USD 150,000) to the designated bank account of Shanghai United Assets and Equity Exchange ( hereinafter referred to as “Exchange”). Since the processing time for the helicopter inspection application is expected to be approximately 5 working days, the intended transferee is advised to reasonably arrange due diligence time. It shall be deemed that the intended transferee has completed due diligence for this project if the intended transferee fails to complete due diligence due to failure to meet the requirements of application, lessee's operational arrangements or other reasons attributable to the intended transferee.
2、在交付前由转让方组织完成一次试飞。受让方参加试飞人员不超过2人，试飞总时长不超过1小时。转让方负责纠正在试飞过程中发现的超出维修手册的故障。
2.One test flight shall be arranged and completed by the transferor before Delivery. The intended transferee may assign no more than two representatives to participate in the test flight; the total duration of the test flight shall not exceed one hour. The transferor shall rectify all defects identified during the test flight that exceed the permissible limits specified in the Maintenance Manual.
3、交付地点为**省**市**区情侣中路80号九洲机场或由受让方提出并经转让方同意的其它中国境内地点。直升机的运输由受让方自行负责并承担相应费用。
3.The helicopter delivery location is at Jiuzhou Airport, No. 80 Lovers' Middle Road, Xiangzhou District, Zhuhai City, Guangdong Province or other locations within China proposed by the transferee and agreed upon by the transferor. The transportation of the helicopter shall be arranged by the confirmed transferee and the confirmed transferee will bear the corresponding costs.

我方拟转让所持有标的资产，并****交易所（以下简称“联交所”）公开披露资产转让信息和组织交易活动，依照公开、公平、公正和诚信的原则作如下承诺：
（1）本次转让是我方真实意思表示，转让标的权属清晰，除已披露的事项外，我方对该资产拥有完全的处置权且不存在法律法规禁止或限制交易的情形；对于设定担保物权的资产转让，符合《中华人民**国民法典》等有关法律法规规定；
（2）本次转让已履行了相应程序，经过有效的内部决策，并获得相应批准；
（3）我方所提交的转让申请及相关材料真实、完整、准确、合法、有效，不存在虚假记载、误导性陈述或重大遗漏；
（4）我方在交易过程中自愿遵守有关法律法规和联交所相关交易规则及规定，恪守转让公告约定，按照相关要求履行我方义务；

After fulfilling these requirements, each intended transferee can view the relevant commercial and technical documents of the helicopter, including the technical condition of the helicopter, Helicopter Sale and Purchase Agreement, and other reasonable technical conditions required by the intended transferee and agreed upon by the transferor. 2、意向受让方查阅上述直升机相关商业和技术文件后，选择继续进行后续受让流程，则需自行查阅《网络竞价方案》（详见附件1），并在本项目挂牌公告期内提交正式报名材料（详见附件3《意向受让方报名材料清单》）。意向受让方提交报名材料为英文原件的，应同时提交中文翻译件，并由意向受让方加盖公章或者由授权签字人签字确认（同步提交签署人授权书，适用于无公章的境外意向受让方）。 2.Each intended transferee should view the “Online Bidding Plan” (refer to Appendix 1) and submit formal application materials during the announcement period for this project (refer to Appendix 3:“List of Application Materials for Intended Transferee”) independently if the intended transferee decides to proceed with the subsequent transfer process after reviewing the relevant commercial and technical documents of the helicopter. If the application materials of each intended transferee are written in English, a corresponding Chinese version shall be provided. All documents shall bear the seal of the intended transferee. For overseas intended transferees that do not have a corporate seal, documents may be signed by an authorized signatory, together with the corresponding authorization letter issued by such signatory. 3、意向受让方在充分了解产权标的情况下，于挂牌公告期间向**联交所提交正式报名材料，在挂牌公告截止日前（以实际到账时间为准，即实际到账时间不能晚于挂牌公告截止日）支付交易保证金100万元人民币（或15万美元）****银行账户，即视为接受挂牌公示的全部内容以及已完成对本项目的全部尽职调查，并作出以不低于挂牌价格受让标的承诺的确认。意向受让方逾期未交纳交易保证金的，视为放弃意向受让资格。意向受让方逾期未在公告期内提交正式报名材料的，其交纳的交易保证金在确定受让方之日起5个工作日内由**联交所全额无息原路返还。 3.It will be deemed that the intended transferee knows and accepts all contents of the public notice and completion of due diligence for this project and confirmation of a commitment to acquire the subject at no less than the listing reserve price if the intended transferee submits formal application materials to the Exchange during the announcement period and pay the transaction deposit of RMB 1 million (or US$150,000) to the designated bank account of the Exchange before the deadline of the announcement period (based on the actual arrival time, i.e., the actual arrival time must not be later than the deadline of the announcement period). It will be regarded as a waiver of participation in this project if the intended transferee fails to pay the transaction deposit by the deadline. The transaction deposit will be refunded in full without interest to the original payer by the Exchange within 5 working days from the determination of the transferee if the intended transferee fails to submit formal application materials within the announcement period. 4、意向受让方获得转让方资格确认的，成为产权标的的竞买人。意向受让方同时符合以下情形的，其交纳的交易保证金在确定受让方之日起5个工作日内由**联交所全额无息原路返还：（1）本项目参与期间不存在违规违约情形；（2）提交正式报名材料但未获得转让方资格确认或获得转让方资格确认但未被确定为受让方。 4.The intended transferee who is qualified by the transferor becomes a bidder for the property rights. The transaction deposit paid by the intended transferee will be fully refunded without interest by the Exchange to the original payer within 5 working days from the determination of the transferee if all of the following conditions are met simultaneously: (1) There were no violations or breaches during the period of participation in this project; (2) Formal application materials are submitted but the intended transferee did not pass the qualification verification by the transferor, or pass the qualification verification but is not determined as the confirmed transferee. 5、信息发布期满，如只征集到一个符合条件的竞买人，采用协议方式转让，竞买人应当以不低于挂牌价格的价格受让产权，并按照产权交易机构通知要求在规定时限内通过产权交易系统进行报价，报价高于或等于挂牌价格的，则该报价成为受让价格；信息发布期满，如征集到两个及以上符合条件的竞买人，采取网络竞价（一次报价）方式确定受让方和受让价格。报价金额以人民币计价，且为不含税价格。 5. Upon the expiration of the announcement period, if only one qualified bidder bids, a negotiated transfer will be adopted. The bidder will acquire the property rights at a price no less than the listed price and submit a bid through the property rights trading system within the specified time frame as notified by the Exchange. The bid amount will become the acquisition price if the bid amount is equal to or higher than the listing reserve price. The confirmation of the transferee and the acquisition price will be determined through an online bidding process (bid once) by the rule of "the highest bidder wins" if two or more qualified bidders are solicited upon the expiration of the announcement period. The bid amount shall be denominated in Renminbi (RMB) and shall be a tax-exclusive price. 6、竞买人被确定为受让方后，双方应在转让方取得必要审批（以转让方通知为准）后5个工作日内签署《直升机买卖合同》，根据合同约定进行技术检查，签署技术接收证明及《物权交易成交确认书》（详见附件6）。受让方应在《物权交易成交确认书》签订之日起5个工作日内将全部产权交易价款****银行账户。本项目之交易保证金不转为交易价款，最终受让方已支付的交易保证金在转让方已收齐全部交易价款且完成资产交割，以及**联交所出具资产交易凭证且收到受让方书面通知后3个工作日内原额无息原路返还给受让方。受让方须同意转让方收到全部交易价款后方可办理产权交接手续。 6.After the bidder is confirmed as the confirmed transferee, both parties should sign the “Helicopter Sale and Purchase Agreement” within 5 working days after the transferor obtains the necessary approval (as notified by the transferor). According to the terms of the agreement, technical inspections should be conducted, and the Technical Acceptance Certificate and the “Confirmation of Property Rights Transaction Completion” (see Appendix 6) should be signed. The confirmed transferee should pay the full amount of the property rights transaction price to the bank account designated by the transferor within 5 working days from the date of signing the “Confirmation of Property Rights Transaction Completion.” The transaction deposit for this project will not be converted into the transaction price. The transaction deposit paid by the confirmed transferee will be refunded in full without interest to the transferee’s original account within 3 working days after the transferor has received the full transaction price, completed the asset handover and the Exchange has issued the asset transaction certificate and received written notice from the confirmed transferee. The transferee must agree that the transfer of property rights can only be processed after the transferor has received the full transaction price. 7、为保护交易各方合法利益，转让方在此做出特别提示，如意向受让方存在以下任一情形，转让方可以以意向方交纳的交易保证金为限，在扣除**联交所组织交易的相关服务费用后，依法依规向意向方主张相应的赔偿责任，**联交所将按照交易保证金相关规则处理。 7. In order to protect the legitimate interests of all parties involved in the transaction, the transferor hereby gives special notice that if the bidder is in any of the following situations, the transferor may claim corresponding compensation from the bidder within the limit of the paid transaction deposit after deducting the relevant service fees organized by the Exchange. The Exchange will handle the compensation according to the rules related to the transaction deposit. （1）竞买人单方面撤回受让申请的或竞买人在递交截止日后（即挂牌公告期满后）要求撤销已递交的竞买文件的； 标书代写 （1）If the bidder unilaterally withdraws the transfer application, or if the bidder requests to withdraw the submitted “Assignment Confirmation Letter” (attachment of Appendix 1) after the deadline (the expiration of the announcement period) for submission; （2）竞买人未参加**联交所组织的后续网络竞价程序的； （2）The bidder has not participated in the subsequent online bidding process organized by the Exchange; （3）竞买人在网络竞价中未有效报价的，包括但不限于报价低于转让底价； （3） If the bidder fails to submit an effective bid in the online auction, including but not limited to bidding below the reserve price; （4）竞买人在被确定为受让方后，不推进交易或故意拖延交易的、或未按公告约定与转让方签署《物权交易成交确认书》及其他必要的相关交易文件（包括但不限于直升机买卖合同）或签署后未遵照执行的、不接受或不承认《物权交易成交确认书》及其他必要的相关交易文件中的任何内容的、未按约定支付交易价款或相关税款（若适用）的、未按约定签署技术接收证书或接收证书的、或放弃受让的； （4）The winning bidder fails to proceed with or intentionally delays the transaction after being confirmed as the transferee, fails to sign the "Property Transaction Confirmation" and other necessary related transaction documents (including but not limited to the Helicopter Sale and Purchase Agreement) with the transferor as agreed in the announcement or fails to comply after signing, refuses to accept or acknowledge any content in the "Property Transaction Confirmation" and other necessary related transaction documents, fails to pay the transaction price or relevant taxes (if applicable) as agreed, fails to sign the technical acceptance certificate or acceptance certificate as agreed, or abandons the transfer； （5）存在串标或采用其他不正当手段参与交易的（包括但不限于不符合受让条件，但以欺诈或隐瞒手段参与交易）； （5）Engaging in bid-rigging or participating in transactions through other improper means (including but not limited to participating in transactions through fraud or concealment despite not meeting the qualification requirements); （6）违反产权交易保证金的有关规定或其他违规违约情形的。 （6）Violation of the relevant regulations on property transaction deposits or other breaches of rules and contracts. 8、由于标的仍在运营中，转让方不保证在交付时直升机不存在超出挂牌公告期间披露的技术文件描述范围的损耗、损伤或缺陷，受让方同意接受该等瑕疵并确认不得以此为由拒绝接收直升机，直升机最终交付状态以实际交付时的现状为准。实际交付时，直升机累计飞行时长预计较公告时增加200至300小时。 8.Since the helicopter is still in operation, the transferor does not guarantee that the helicopter will be free from wear, damage, or defects beyond those described in the technical documents disclosed during the listing announcement period at the time of delivery. The confirmed transferee agrees to accept such defects and shall not refuse to accept the helicopter on these grounds. The helicopter shall be delivered on an “as is, where is” basis. The accumulated flight hours of the helicopter are expected to increase by 200 to 300 hours compared to the data provided during the announcement period. 9、本项目成交价格为转让方实际收到的交易价款，不含相关税费，交易过程中如涉及的相关税费（包括但不限于进口关税、增值税等）均由受让方另行承担。****海关保税监管状态，尚未办结进口报关及相关完税手续。 9.The transaction price of this project refers to the actual payment received by the transferor, excluding relevant taxes and fees. Any taxes and fees involved in the transaction (not limited to import duties, value-added taxes, etc.) shall be separately borne by the confirmed transferee. The subject is a bonded commodity, still under the supervision of the Chinese Customs, import declaration and relevant tax payment have not been completed yet. （1）若在保税区内流转或合规出口至中国境外，则免征进口关税及增值税。 （1）There will be exempt from import duties and value-added tax if the subject circulate within the bonded zone or is legally exported outside of China. （2）若流转至中国境内非保税区域，****海关缴纳进口关税和增值税。 （2）The confirmed transferee shall pay the import duties and value-added tax to the customs authorities if the subject is transferred to non-free trade zones within China. 10、本项目成交价格以人民币计价，支付币种可为人民币或美元（交易保证金与交易价款的币种需相同）。若受让方通过美元支付相关交易价款，需以人民币金额进行报价，并根据结算汇率折算成美元后支付交易价款。结算汇率约定如下：以中国货币网（https://www.****.cn/english/hombtbrrthdt/）在交易价款支付当日上午10：00公布的美元对人民币参考汇率为结算汇率。如当日中国货币网未公布参考汇率，以中国货币网最近一次公布的10:00参考汇率为结算汇率。 10. The transaction price of this project is denominated in RMB, and the payment currency can be RMB or USD (the currency of the transaction deposit and transaction price must be the same). If the confirmed transferee pays the relevant transaction price in USD, the confirmed transferee shall quote in RMB and pay the transaction price after converting it into USD based on the settlement exchange rate.
