****为****公司集采机构，受****（采购人）委托开展Emerald公司跨境破产清算项目律所聘用项目采购工作，服务合同由SPEP Energy HongKong Limited与成交单位签订，请符合条件的报价人参加。

Sinochem Energy High-Tech Co., Ltd. Shanghai Branch, acting as the Centralized Procurement Agency for Sinochem Energy Co., Ltd., is entrusted by Sinochem Petroleum Exploration Production Co., Ltd. (the “Procurement Entity”) to conduct the procurement for the Emerald Energy Plc Cross-Border Bankruptcy Liquidation Project – Law Firm Engagement. The service contract shall be signed between SPEP Energy HongKong Limited and the successful bidder. Qualified bidders are invited to participate.

1.6服务期：预计2026年7月中下旬开始，至本项目完成。各时间节点视采购进度及采购人要求进行调整，具体以采购人书面通知为准。

1.6 Service Period: Expected to commence in mid-to-late July 2026 and continue until completion of the project. Specific timelines are subject to procurement progress and the Procurement Entity's requirements, as further notified in writing by the Procurement Entity.

4．报价人资格要求（以下各项均为“否决项”，达不到要求其响应文件将被否决）：

4.1合法成立：报价人应为保持良好履约记录，有能力响应采购文件要求的独立法人单位或其他组织【提供有效的所在****事务所执业资质（须提供有效执业许可证或同等法律证明文件的复印件/扫描件】。

4.1 Legally Established: The Bidder must be an independent legal entity or other organization with a good record of performance and capable of responding to the requirements of the Procurement Document. [Provide a copy/scan of the valid law firm practicing license or equivalent legal proof document recognized by the relevant jurisdiction.]

4.2 Affiliated Relationships: Two or more legal persons with the same legal representative shall not participate simultaneously; a parent company and its wholly-owned subsidiaries and/or holding companies shall not participate simultaneously. Note: Bidders shall participate in negotiations via email or online means.

6．特别声明Special Statements

6.1采购人保留审查原件的权利，若报价人提供的资质证书、业绩及相关资料存在造假行为，其报价将被作否决处理。

6.1 The Procurement Entity reserves the right to review original documents. If the qualification certificates, performance records, or related materials provided by the Bidder are found to be fraudulent, the Bidder’s bid will be rejected.

6.2对有弄虚作假行为、串标围标、恶意低价报价等违法违规行为以及在以往项目履行中有违约交付、产品质量有不良记录的报价人，采购人将按照《中化能源违规供应商处理标准》对其进行处理，详见：【平台通知】中化能源违规供应商处理标准（https://scm.****.com/hpc/index.html#/cmsDetail?cmsId=178********48831746）。

6.2 For bidders engaging in fraudulent conduct, bid rigging, collusive bidding, malicious low-price bidding, or other illegal or non-compliant activities, as well as those with a history of default in delivery or poor product quality in previous projects, the Procurement Entity will handle the matter in accordance with the “Sinochem Energy Non-Compliant Supplier Handling Standards.” See: https://scm.****.com/hpc/index.html#/cmsDetail?cmsId=178********48831746.

6.3对于首次**的供应商，采购人有权组织供应商考察，合格后才能赋予准入产品目录。

6.3 For first-time suppliers, the Procurement Entity reserves the right to conduct a supplier site visit; only after passing such visit may the supplier be granted access to the product catalogue.
