We, CHINA HARBOUR ENGINEERING (NIGERIA) OIL GAS FZE, hereby request your company to submit a quotation for vessel leasing. Detailed specifications and requirements are set forth as below：

1. Construction Site

Estuary of the Imo River.

2. Procurement Scope

1 tugboat with a total main engine power of no less than 500 kW;

1 barge with a hold capacity of no less than 300 cubic meters..

3. Charter Period

(1) The intended lease period shall be 2 months.

(2) The commencement date shall be confirmed upon formal notification from the Lessee..

4. Insurance Requirements

(1) The lease contract shall cover comprehensive insurance for the vessels, including Third-Party Liability Insurance and Machinery Breakdown Insurance.

5. Machinery Requirements

(1) The vessels shall be in sound condition and comply with the requirements of the Project Owner, Project Engineer, as well as relevant local governmental authorities and departments.

(2) The Vessel Nationality Certificate, Seaworthiness Certificate, Survey Certificate and valid competency certificates for all on-board seafarers shall be complete and legally valid. The Lessor shall cooperate with our side for qualification verification prior to vessel mobilization to site.

6. Maintenance and Repairs

(1) Throughout the entire lease period, the vessels shall be properly maintained and kept in good working order. All routine maintenance and emergency repairs shall be the sole responsibility of the Lessor.

7. Safety Requirements

(1) The operation of vessels shall comply with all applicable safety standards and regulations.

8. Quotation Requirement

(1) This quotation shall be a fixed monthly lump-sum leasing price. The quoted price shall cover all expenses borne by the Lessor during the lease term, including but not limited to vessel usage fees, salaries of certified crew, lubricating oil, domestic fresh water, domestic waste collection and disposal, daily vessel maintenance, basic formalities for maritime filing, and all other supporting costs. No additional miscellaneous charges shall be levied unless otherwise mutually agreed in writing.

(2) The quotation shall take into account price fluctuations of materials, lubricants, labor, equipment and other related factors. The agreed price shall remain fixed and not subject to any adjustment during the term of the equipment lease contract.

(3) Fuel supply: Fuel oil shall be provided and borne by the Lessee.

9. Payment

(1) Payment term: Payment shall be made within thirty (30) calendar days upon receipt of valid invoice.

(2) Rent shall be paid on a monthly basis. If the lease duration is less than one full month, rent shall be calculated proportionally based on the actual number of days used.

(3) Currency of payment: Settlement shall be made in Nigerian Naira (NGN).

(1) 本次报价为月度包干租赁单价，报价须包含船舶设备使用费、持证船员人工薪酬、润滑油、生活淡水、生活垃圾清运处置、船舶日常运维、海事报备基础手续费等租期内出租方全部配套支出，除双方明确约定项目外，不得另行收取其他任何杂费。

(2) 报价应考虑材料、润滑油、人工、设备和其他因素的价格波动。设备租赁合同有效期内，双方约定的价格不得调整。

(3) 供油方式：燃油承租方负责。
