1. Tendering Conditions

Jiangsu Provincial Complete Equipment Co., Ltd. (the Tendering Agent), entrusted by JIJUNTANG INTERNATIONAL INVESTMENT GROUP CO., LTD. (the Tenderer), intends to conduct an open tendering for the Jijuntang Phnom Penh Center Building (formerly Phnom Penh Era Hotel) Comprehensive Renovation Project - General Contracting Package (EPC) (the “Project”). The relevant matters are hereby announced as follows:

(4) Project Overview:

项目位于柬埔寨首都金边市区（44 St 163, Phnom Penh, Cambodia），现状为一座地上15层、地下2层（其中-1****停车场），****花园，总建筑面积约16,220.66****酒店建筑。现拟将其全面改造为业主方自用营地，改造后不再对外经营，完全服务于业主内部运营与生活需求。项目峰值期使用人数约150人，所有功能空间及系统配置均以为依据进行设计。

The Project is located in Phnom Penh City, Capital of the Kingdom of Cambodia (44 St 163, Phnom Penh, Cambodia). The existing structure is a former hotel building with 15 above-ground floors and 2 basement levels (with the B1 level serving as a semi-underground parking garage), including a rooftop garden, with a total gross floor area of approximately 16,220.66 m2. It is now proposed to be comprehensively renovated into a self-use camp for the Employer, which will no longer operate commercially after renovation and will be exclusively dedicated to the Employer’s internal operations and living needs. The peak occupancy of the Project is approximately 150 persons, and all functional spaces and system configurations shall be designed accordingly.

鉴于项目所在地的建筑行业发展水平，****酒店的历史设计图纸、结构竣工总图以及结构图等资料。因柬埔寨当地建筑质量标准不高，故中标人进场后，须委托具备相应资质的第三方检测机构，对既有建筑的主体结构类型、实际混凝土强度、钢筋配置、砌体材质及老化程度等依据中国国家标准进行全面现场检测与鉴定，同时对既有给排水管线、电气线路、暖通管道等机电系统的管径、材质、老化及堵塞情况等进行系统勘察与评估。以上述检测结果作为结构加固方案及给排水、电气、暖通等系统改造设计的唯一依据，确保改造方案安全可靠、贴合实际。

Given the level of development of the local construction industry at the Project site, the historical design drawings, structural as-built general plan and structural drawings of the existing hotel are incomplete. As local building quality standards in Cambodia are not stringent, the successful bidder, upon entering the site, shall engage a qualified third-party testing organization to conduct comprehensive on-site testing and appraisal of the existing building in accordance with the national standards of the People’s Republic of China, covering the main structural type, actual concrete strength, reinforcement layout, masonry materials and degree of deterioration, etc.; and shall simultaneously carry out a systematic investigation and assessment of the existing mechanical and electrical (M E) systems such as water supply and drainage pipelines, electrical wiring and HVAC ductwork, regarding pipe diameters, materials, aging and blockage conditions. The said test results shall serve as the sole basis for the structural reinforcement scheme and the renovation design of the water supply and drainage, electrical and HVAC systems, so as to ensure that the renovation scheme is safe, reliable and consistent with actual conditions.

改造后的建筑将集成居住、办公、餐饮、会议、健身及休闲娱乐等复合功能，涵盖套房、标准客房、独立办公室、开放式办公区、员工餐厅、包间、多功能会议室、健身房、台球室、茶室及雪茄吧等多元空间。其中，需配置适当****办公室供业主方领导使用，并在空间布局上实现清晰的阶层分区与专属动线，保障高层使用区域的私密性与管理便利性。

The renovated building will integrate mixed functions including residential, office, dining, conference, fitness and recreational uses, covering diverse spaces such as suites, standard guest rooms, private offices, open-plan work areas, staff canteen, private dining rooms, multi-function meeting rooms, gym, billiard room, tea room and cigar bar. Among these, an appropriate number of suites and private offices shall be provided for the use of the Employer’s leadership, and the spatial layout shall achieve clear hierarchical zoning and dedicated circulation routes, so as to safeguard the privacy and management convenience of the senior-use areas.

项目建设周期预计为365天，设计方案应充分考虑既有建筑改造的施工可行性与工期约束，确保可快速落地实施。通过此次全面改造，****酒店升级为一处功能完备、运行安全、环境舒适、管理有序的现代化业主营地，充分满足业主方长期驻留与高效运营的综合需求。

The estimated construction period of the Project is 365 days. The design scheme shall give full consideration to the constructability and schedule constraints of the existing-building renovation, so as to ensure prompt implementation. Through this comprehensive renovation, the Project will upgrade the former hotel into a modern Employer’s camp that is fully functional, safe in operation, comfortable in environment and well managed, fully satisfying the Employer’s integrated needs for long-term stay and efficient operation.

招标范围包含且不限于：设计任务书内提到的设计工作(包括本专项工程的方案设计、初步设计、施工图设计、计算、文件准备等)、施工管理、施工准备、施工、生产、采购、运输、安装、调试、测试、验收、竣工备案及质量保证工作、保修及售后服务。

The scope of tender includes, but is not limited to: the design work specified in the Design Brief (including the scheme design, preliminary design, construction drawing design, calculations, document preparation, etc. of this package), construction management, construction preparation, construction, fabrication, procurement, transportation, installation, commissioning, testing, acceptance, completion filing and quality assurance, as well as warranty and after-sales services.

3、投标人资格要求

3. Qualification Requirements for Bidders

（1）具有独立的法人资格（提供有效的营业执照复印件并加盖公章）。

(1) Possession of independent legal person status (submit a copy of the valid business license bearing the official seal).

（2）设计资质要求：具备中华人民**国工程设计综合甲级资质或建筑行业（建筑工程）甲级资质或建筑装饰工程设计专项甲级或具备柬埔寨****公司资质证书（提供有效的资质证书复印件并加盖公章）。

(2) Design qualification requirements: Possession of either the Comprehensive Grade A Engineering Design Qualification of the People’s Republic of China, or the Grade A Qualification in the construction industry (building engineering), or the Grade A Specialized Qualification in architectural decoration engineering design, or a Grade I architectural design company qualification certificate of the Kingdom of Cambodia (submit a copy of the valid qualification certificate bearing the official seal).

（3）施工资质要求：具备中华人民**国建筑工程施工总承包二级（含）以上资质及建筑装修装饰工程专业承包一级资质并具备有效的安全生产许可证（提供有效的资质证书复印件并加盖公章）；或合法经营的柬埔寨大型建筑装修企业（以柬埔寨2026年税务登记证载明的信息为准，提供有效的证书复印件并加盖公章）。

(3) Construction qualification requirements: Possession of the Grade II (and above) Qualification for General Contracting of Building Engineering Works of the People’s Republic of China and the Grade I Qualification for Specialized Contracting of Building Decoration and Fit-out Works, together with a valid Work Safety License (submit a copy of the valid qualification certificate bearing the official seal); or a lawfully operating large-scale building decoration and fit-out enterprise of Cambodia (subject to the information stated in the Cambodian 2026 Tax Registration Certificate, submit a copy of the valid certificate bearing the official seal).

（4）总承包项目负责人：情形①如总承包项目负责人为中华人民**国境内企业在职员工：须为施工单位在职员工（提供投标人为其缴纳的2026年1月以来任意1个月社保缴纳记录），且具有中华人民**国建筑工程专业二级（含）以上注册建造师证书；情形②如总承包项目负责人为中华人民**国境外企业在职员工：须为施工单位在职员工（提供投标人出具的在职证明材料并加盖公章、有效的聘用证明材料并加盖公章），且具有中华人民**国建筑工程专业二级（含）以上注册建造师证书或柬埔寨注册工程师执照（提供有效的资质证书复印件并加盖公章）。上述2种情形完全满足1种即可。

(4) General Contracting Project Manager: Scenario (i) - if the General Contracting Project Manager is an employee of an enterprise registered in the People’s Republic of China: he/she must be an employee of the construction entity (submit a social insurance payment record of any one month since January 2026 paid by the bidder for him/her), and must hold a Grade II (and above) Registered Constructor’s Certificate in the building engineering specialty of the People’s Republic of China; Scenario (ii) - if the General Contracting Project Manager is an employee of an enterprise registered outside the People’s Republic of China: he/she must be an employee of the construction entity (submit the bidder’s certificate of employment bearing the official seal and a valid employment certificate bearing the official seal), and must hold a Grade II (and above) Registered Constructor’s Certificate in the building engineering specialty of the People’s Republic of China or a Cambodian Registered Engineer’s License (submit a copy of the valid qualification certificate bearing the official seal). Satisfying either of the above two scenarios in full shall suffice.

（5）施工项目经理：情形①如施工项目经理为中华人民**国境内企业在职员工：须为施工单位在职员工（提供投标人为其缴纳的2026年1月以来任意1个月社保缴纳记录），且具有中华人民**国建筑工程专业二级（含）以上注册建造师证书；情形②如施工项目经理为中华人民**国境外企业在职员工：须为施工单位在职员工（提供投标人出具的在职证明材料并加盖公章、有效的聘用证明材料并加盖公章），且具有中华人民**国建筑工程专业二级（含）以上注册建造师证书或柬埔寨注册工程师执照（提供有效的资质证书复印件并加盖公章）。上述2种情形完全满足1种即可。

(5) Construction Project Manager: Scenario (i) - if the Construction Project Manager is an employee of an enterprise registered in the People’s Republic of China: he/she must be an employee of the construction entity (submit a social insurance payment record of any one month since January 2026 paid by the bidder for him/her), and must hold a Grade II (and above) Registered Constructor’s Certificate in the building engineering specialty of the People’s Republic of China; Scenario (ii) - if the Construction Project Manager is an employee of an enterprise registered outside the People’s Republic of China: he/she must be an employee of the construction entity (submit the bidder’s certificate of employment bearing the official seal and a valid employment certificate bearing the official seal), and must hold a Grade II (and above) Registered Constructor’s Certificate in the building engineering specialty of the People’s Republic of China or a Cambodian Registered Engineer’s License (submit a copy of the valid qualification certificate bearing the official seal). Satisfying either of the above two scenarios in full shall suffice.

注：总承包项目负责人与施工项目经理可兼任。

Note: The General Contracting Project Manager and the Construction Project Manager may be held by the same person.

（6）设计负责人：情形①如设计负责人为中华人民**国境内企业在职员工：须为设计单位在职员工（提供投标人为其缴纳的2026年1月以来任意1个月社保缴纳记录），且具有中华人民**国二级注册建筑师证书（提供有效的资质证书复印件并加盖公章）；情形②如设计负责人为中华人民**国境外企业在职员工：须为设计单位在职员工（提供投标人出具的在职证明材料并加盖公章、有效的聘用证明材料并加盖公章），且具有中华人民**国建筑工程专业二级（含）以上注册建筑师证书或柬埔寨注册建筑师执照（提供有效的资质证书复印件并加盖公章）。上述2种情形完全满足1种即可。

(6) Design Manager: Scenario (i) - if the Design Manager is an employee of an enterprise registered in the People’s Republic of China: he/she must be an employee of the design entity (submit a social insurance payment record of any one month since January 2026 paid by the bidder for him/her), and must hold a Grade II Registered Architect’s Certificate of the People’s Republic of China (submit a copy of the valid qualification certificate bearing the official seal); Scenario (ii) - if the Design Manager is an employee of an enterprise registered outside the People’s Republic of China: he/she must be an employee of the design entity (submit the bidder’s certificate of employment bearing the official seal and a valid employment certificate bearing the official seal), and must hold a Grade II (and above) Registered Architect’s Certificate in the building engineering specialty of the People’s Republic of China or a Cambodian Registered Architect’s License (submit a copy of the valid qualification certificate bearing the official seal). Satisfying either of the above two scenarios in full shall suffice.

（7）类似业绩要求（施工业绩）：投标人自2016年1月1日以来（以以竣工验收时间为准），至少具备1例合同签订金额不低于5000万元人民币（或等值外币，以开标当日汇率为准）的类似房建或装修或综合改造业绩（提供有效的合同复印件并加盖公章及竣工验收证明材料并加盖公章）。标书代写

(7) Similar project experience requirements (construction experience): Since January 1, 2016 (subject to the date of completion acceptance), the bidder shall have at least one similar building construction, decoration, or comprehensive renovation project with a contracted amount of not less than RMB 50,000,000 (or the equivalent in foreign currency, based on the exchange rate on the bid opening day) (submit a valid copy of the contract bearing the official seal and the completion acceptance certificate bearing the official seal).

（8）财务要求：情形①如投标人为中华人民**国境内企业（包括以联合体形式投标，牵头人为中华人民**国境内企业的）：提供2025年度审计报告（提供有效的审计报告复印件并加盖公章）；情形②如投标人为中华人民**国境外企业（包括以联合体形式投标，且牵头人为中华人民**国境外企业的）：提供柬埔寨2026年税务登记证书（提供有效的证书复印件并加盖公章）。上述2种情形完全满足1种即可。

(8) Financial requirements: Scenario (i) - if the bidder is an enterprise registered in the People’s Republic of China (including where it bids as a consortium whose lead member is an enterprise registered in the PRC): submit the 2025 audit (submit a valid copy of the audit bearing the official seal); Scenario (ii) - if the bidder is an enterprise registered outside the People’s Republic of China (including where it bids as a consortium whose lead member is an enterprise registered outside the PRC): submit the Cambodian 2026 Tax Registration Certificate (submit a valid copy of the certificate bearing the official seal). Satisfying either of the above two scenarios in full shall suffice.

(9) Integrity / Creditworthiness Requirements:

9.1投标文件中没有失实或者弄虚作假；

9.1 The bid documents contain no false or fraudulent information;

9.2投标人未处于被责令停业、投标资格被取消或者财产被接管、冻结和破产状态；

9.2 The bidder is not under an order to suspend business, has not had its bidding qualification revoked, and is not in a state of assets being taken over, frozen or bankruptcy;

9.3投标人没有因骗取中标或者严重违约以及发生重大工程质量、安全生产事故等问题，被有关部门暂停投标资格并在暂停期内的。

9.3 The bidder has not, due to winning a bid by fraudulent means, serious breach of contract, or the occurrence of a major project quality or work safety accident, been suspended from bidding by the competent authority and remains within the suspension period.

9.4 ****人民法院、住建部、信用中国、政府采购平台、军队采购平台等列入失信名单或禁止、限制投标或采购名单；

9.4 The bidder has not been included by the Supreme People’s Court, the Ministry of Housing and Urban-Rural Development, Credit China, government procurement platforms, military procurement platforms, etc. in any list of dishonest entities or any list prohibiting or restricting bidding or procurement;

(10) Whether a consortium bid is accepted: Yes.

10.1联合体成员单位均具备独立企业法人资格，联合体成员最多不超过4家；

10.1 All consortium members possess independent enterprise legal person status, and the consortium shall comprise no more than 4 members;

10.2联合体的资质应符合招标公告中投标人资格要求；

10.2 The qualifications of the consortium shall comply with the bidder qualification requirements set out in this Tender Announcement;

10.3联合体须提供联合体协议书，明确联合体牵头人和各方权利义务，联合体牵头人须为施工单位，联合体牵头人代表联合体投标、签约及履行合同和协议中应承担的义务和法律责任。联合体中标后,联合体各方共同与招标人签订合同，联合体各方向招标人承担连带责任；

10.3 The consortium shall provide a Consortium Agreement specifying the consortium lead member and the rights and obligations of each party. The consortium lead member must be the construction entity. The consortium lead member shall represent the consortium in bidding, signing the contract, and performing the obligations and legal liabilities under the contract and the agreement. After the consortium is awarded the contract, all consortium members shall jointly sign the contract with the Tenderer, and each member shall be jointly and severally liable to the Tenderer;

10.4如以联合形式参加本项目的，报名时须上传联合体协议，联合体协议中明确的牵头单位在本项目招标过程中不得变更。联合体资质按照联合体协议约定的分工认定。

10.4 Where the consortium form is adopted to participate in this Project, the Consortium Agreement must be uploaded at the time of registration, and the lead member specified therein shall not be changed during the tendering process of this Project. The qualifications of the consortium shall be determined according to the division of work stipulated in the Consortium Agreement.

特别说明：投标人提供的各项证照、证明材料如为外文的，投标时必须提供经认可的翻译机构翻译的简体中文翻译件，未按要求提交材料的将被否决投标。

Special Note: If any certificates or supporting documents provided by the bidder are in a foreign language, a Simplified Chinese translation prepared by a recognized translation agency must be submitted at the time of bid submission. Failure to submit the documents as required will result in rejection of the bid.

4、招标文件申领时间、地点、方式

（1）申领时间（**时间，下同）：2026年8月28日8时30分至2026年9月4日17时30分。

(1) Time for obtaining (Beijing Time, hereinafter the same): from 08:30 on August 28, 2026 to 17:30 on September 4, 2026.

(2) Place and method for obtaining: During the specified obtaining period, the bidder shall send the registration materials to the email shiz@jcec.****. The registration materials are: 1. a scanned copy of the bidder’s original business license bearing the official seal (for a consortium, only the scanned copy of the original business license of the consortium lead member is required); 2. a scanned copy of the Consortium Agreement bearing the official seals of all consortium members (for a consortium); 3. a scanned copy of the original Power of Attorney of the bidder’s Legal Representative bearing the official seal [a copy of the ID card of the Legal Representative and the authorized representative, or a valid identity ID (for non-Chinese nationals), shall be provided. For a consortium, the Power of Attorney issued by the consortium lead member shall be provided]; and 4. the contact information of the bidder’s authorized representative (telephone number and email address), bearing the official seal.

招标文件每份售价1000元人民币，投标人递交的报名材料审核通过后，招标代理机构通过电子邮件将收款账户信息告知投标人，投标人须在获取招标文件前完成费用支付。本项目招标文件将在报名截止时间后，向通过报名材料审核及完成费用支付的投标人发布。标书代写

The price of each set of Tender Documents is RMB 1,000. After the registration materials submitted by the bidder are reviewed and approved, the Tendering Agent will notify the bidder of the payment account information by email, and the bidder must complete the payment before obtaining the Tender Documents. The Tender Documents for this Project will be issued, after the registration deadline, to bidders who have passed the review of registration materials and completed the payment.

Where the relevant person fails to bring the materials as required, the Tenderer will not accept the bid documents.
