一、飞机将于2026年10月执行完11年检。目前飞机为美国FAA国籍注册，并持有美国FAA标准单机适航证。飞机其他情况说明和外观、内饰情况见飞机技术参数表（****交易所备查材料）。
二、飞机目前仍在租，租约计划到期日为2026年10月26日，实际退租时间将取决于退租检工作进展。在完成退租和交割前，飞机仍可能发生商业飞行、调机、试飞等。
三、本项目公告期即为尽职调查期，意向受让方可在公告期内签署保密承诺函(****交易所备查文件)后，对飞机进行一般目视检查（GVI），并查阅飞机相关技术文件（仅限于CMP Aircraft Status 、Due List, AD SB List,8年检工作包，以及经转让方同意的其他必要技术文件），开展尽职调查工作。前往现场检查相关费用由意向受让方自行承担。
四、本架飞机无机身、发动机、APU包修。
五、挂牌公告日时点，标的资产停放在****国际机场（机场代码：TSN）。后续飞机停放安排由转让方自行决定。
六、飞机技术参数表和物权详情中的标的资产相关技术数据为参考截至2026年7月31日的CMP报告数据，后续如发生商业飞行、调机、试飞等，飞机技术数据将相应产生变化。
七、飞机至交割日，该架飞机将保持美国N注册，并在交割日按照飞机现状交付。
八、标的资产的实益所有权人为转让方（为满足FAA注册要求，标的资产法律上的名义所有权人为Bank of Utah）。待资产交易合同签订后，由转让方将标的资产的实益所有权以及与Bank of Utah的信托合同转让给受让方。(如受让方无需委托Bank of Utah持有标的资产的名义所有权，转让方可在交割时终止与Bank of Utah的信托关系，取得标的资产名义所有权和实益所有权。)
九、本次转让价格为不含税（增值税）价格。除所得税和转让方印花税外，本次转让标的过程中所涉及的税费及相关费用由受让方承担。

Based on a full understanding of the underlying asset, the potential transferee shall, prior to the expiry of the announcement period, submit the application for acquisition and pay a Security Deposit of RMB 14,180,000.00 or a USD equivalent to the designated bank account of SUAEE (before 17:30 Beijing Time of the expiry date, subject to the bank account entry time). After completing the above procedures and upon confirmation of the transferee's qualification by SUAEE jointly with the transfer, the potential transferee shall become a bidder for the underlying asset, who is deemed to have confirmed its undertaking in the Application for Property Acquisition to accept the transaction conditions hereunder, and to acquire the underlying asset at a price not lower than the Base Price. The potential transferee who fails to pay the Security Deposit within the time limit shall be deemed to have given up its qualification to apply for acquisition. If a bidder is confirmed as the transferee and so long as no event of default has occurred and is continuing, the Security Deposit will be fully returned to the transferee through the original payment route after the issue of Asset Transaction Certificate and receipt of a written notice from the transferor. If a bidder is not confirmed as the transferee and so long as no event of default has occurred and is continuing, the security deposit will be fully returned to the bidder through the original payment route after the transferee is confirmed. 2、信息发布期满，如只征集到一个符合条件的竞买人递交受让申请及交易保证金的，则采取协议转让方式成交。采用协议方式转让，竞买人应当以不低于转让底价的价格受让转让标的，并交易所的通知要求在规定时限内通过网络竞价平台进行有效报价，报价高于或等于转让底价的，则该报价成为受让价格。竞买人被确定为受让方后，应在25个工作日内与转让方签订资产交易合同。信息发布期满，如征集到两个及以上符合条件的竞买人，采取网络竞价（多次报价）方式。竞买人被确定为受让方后，交易双方应按照竞价实施方案的要求，在25个工作日内签订资产交易合同。 2. At the expiration of the announcement period, if there is only one qualified bidder who has paid the Security Deposit, the bidder shall make an effective offer at a price not lower than the Base Price through the online bidding platform within the time limit as notified by SUAEE. The offer price will be the purchase price. The transferor and the transferee shall sign the asset transfer agreement (“Asset Transfer Agreement”) within 25 business days. If there are two or more qualified bidders, the transferee and the purchase price will be determined through online bidding. The transferor and the transferee shall sign the Asset Transfer Agreement within 25 business days. 3、本次资产交易价款采用一次性支付，受让方应在资产交易合同签订之日起5个工作日内支付定金人民币1418万元（或等值美元银行账户，该定金在标的资产交割时转为交易价款的一部分。受让方应将除定金外的剩余交易价款在转让标的交割前银行账户。飞机交割发生在飞机完成退租之后，最晚交割日为自资产交易合同签订之日起第30个自然日或双方协商一致另行约定的其他日期，但不得晚于2026年12月31日。除非出现以下情形，定金不予退还：飞机在交割前发生全损；或因转让方的原因，飞机未能在最晚交割日前完成转让。 3. The asset transaction price shall be paid in a lump sum. The transferee shall, within 5 business days after signing the Asset Transfer Agreement, pay a Contract Deposit of RMB 14,180,000.00 or a USD equivalent to the bank account designated by the transferor. The contract deposit will become a part of the purchase price at the closing. The remaining purchase price shall be paid by the transferee prior to the closing date. The aircraft delivery shall occur subsequent to the completion of the lease return. The closing date shall occur no later than the 30th day from duly signing of the Asset Transfer Agreement or such other date as may be mutually agreed between transferee and transferor (the “Cut-off Date”), but in no event later than 31 December, 2026. The contract deposit shall not be refunded except as set forth below: (a) if a total loss of such aircraft occurs before the closing; (b) if the transaction is not completed on or prior to the Cut-off Date for reasons solely attributable to the transferor. 4、本项目交易保证金、定金和交易价款以人民币计价，可以人民币或美元支付，但建议优先使用美元结算，届时转让方将根据受让方实际情况和需要在交易合同中约定支付币种。若以美元支付交易保证金、定金和交易价款，汇率取付款日前第3银行发布的人民币汇率中间价。 4. The Security Deposit, Contract Deposit and Purchase Price are denominated in RMB and can be paid either in RMB or USD, but Contract Deposit and Purchase Price are recommended to prioritize settlement in US dollars. The transferor shall specify the payment currency in the Asset Transfer Agreement based on the actual needs and circumstances of the transferee. If the Security Deposit, Contract Deposit and Purchase Price are paid in USD, the exchange rate shall be the RMB central parity rate published by People’s Bank of China 3 business days before the payment. 5、为保护交易各方合法利益，转让方在此做出特别提示，意向受让方一旦成为竞买人并对如下内容作出承诺：如竞买人存在以下任何一种情形，转让方可以以意向受让方交纳的交易保证金为限，在交易所组织交易的相关服务费用后，依法依规向意向受让方主张相应的赔偿责任，交易所将按照交易保证金相关规则处理。 1）只征集到一个符合条件的竞买人： ①交易所通知的规定时限内，竞买人未交易所网络竞价平台进行有效报价的； ②被确定为受让方后，未在25个工作日内与转让方签订资产交易合同的。 2）征集到两个及以上符合条件的竞买人： ①在网络竞价中竞买人未提交竞买文件的； ②在网络竞价中各竞买人均未有效报价的； ③竞买人通过网络竞价被确定为受让方后，未在25个工作日内与转让方签订资产交易合同的。 3）违反资产交易保证金的有关规定或其他违规违约情形的。 5.For the rights and benefits of all transaction parties, the transferor hereby makes a special reminder: once the potential transferee becomes a bidder and makes the following commitments, if the bidder is in any of the following circumstances, the transferor may, to the extent of the security deposit paid by the potential transferee, deduct the relevant service fees incurred by SUAEE for organizing the transaction, and then claim corresponding compensation from the potential transferee in accordance with laws and regulations. SUAEE will handle the matter in accordance with the relevant rules on security deposits. (1) When there is only one qualified bidder: (i) The bidder fails to make an effective offer through the online bidding platform of SUAEE within the time limit; (ii) The bidder who has been confirmed as the transferee fails to sign the Asset Transfer Agreement within 25 business days; (2) When there are two or more qualified bidders: (i) The bidders fail to submit the bidding documents in the online bidding; (ii) The bidder fails to make an effective offer through the online bidding platform of SUAEE within the time limit; (iii) The bidder who has been confirmed as the transferee fails to sign the Asset Transfer Agreement within 25 business days; (3) The bidder violates other lawful rules or regulations in relation to security deposit or any other matters. 6、转让方对所提供文件的真实性负责，但不保证飞机本身可能存在超出文件描述范围的损伤或缺陷。受让方应在尽职调查时对飞机状态进行相应确认，受让后出现的问题，转让方不做任何承诺，并不承担额外的补偿义务。在受让方签署接收资产证明前，转让方对标的资产具有善良保管义务。 6. The transferor shall be responsible for the authenticity of the documents provided. The transferor does not warrant that the aircraft will be delivered without excessive wear and tear, damage or defect as currently disclosed in the technical documents. The transferee shall confirm status of the aircraft during due diligence period. The transferor does not promise anything in relation to issues occurring after the transfer and will not undertake any compensation liabilities. The transferor shall take care of the aircraft before the transferee signing the acceptance certificate. 7、飞机在交付受让方前，至交割日将保持美国N注册，并在交割日按照标的资产现状交付。 7. Before the delivery, the aircraft will maintain the United States N registration. At the closing, the Aircraft shall be delivered in AS IS WHERE IS condition. 8、交付检安排：在签订资产交易合同后，受让方有权进行必要的购机检查，检查级别为一般目视检查（GVI）或取得转让方同意的其他检查项目，其费用由受让方承担。 8. After signing the Asset Transfer Agreement, the transferee has the right to conduct necessary Pre-Purchase Inspection. The PPI procedure and work scope shall be limited to General Visual Inspection (GVI) or any other inspection item approved by the transferor, and all expenses related to the inspection shall be borne by the transferee. 9、交付地点安排：交付地点将与受让方基于税务安排协商沟通确定，原则上调机等费用（如有）应由受让方承担。如调机，受让方应于调机前签署并向转让方递交飞机技术接收证书，签署飞机技术接收证书后，受让方不得以飞机状态不符合交付条件为由拒绝接收飞机或拒绝进行飞机交付。受让方签署飞机技术接收证书后，飞机停放维护和适航管理费用应由受让方承担，飞机毁损、灭失等风险均由受让方承担。如调机，在调机前受让方应向转让方完成所有款项支付。 9. The place of delivery will be determined through negotiation and communication with the final transferee based on tax arrangement. The costs (if any) shall be for the transferee’s account. If a ferry flight is required, the Transferee shall sign and deliver the Aircraft Technical Acceptance Certificate to the Transferor prior to such flight. Upon signing the Aircraft Technical Acceptance Certificate, the Transferee shall not refuse to accept and take the delivery of the Aircraft on the grounds of its condition failing to meet the delivery conditions. Following the signing of the Aircraft Technical Acceptance Certificate, cost of aircraft parking, maintenance and airworthiness management shall be borne by the Transferee, and all risks of damage to or loss of the Aircraft shall pass to the Transferee. The transferee shall complete all payments to the transferor before ferry flight. 10、除企业所得税和转让方印花税应由转让方承担以外，本次转让标的过程中所涉及的税费及相关费用由受让方承担。 10. Except for the enterprise income tax and stamp duty payable by the transferor, the taxes and fees arising from the transfer of the underlying asset shall be borne by the transferee. 11、受让方应在飞机交付前将飞机交易价款对应的增值税以及其他任何税费（如有）一次性支付至转让方。 11. Before the Delivery Date, transferee shall make a lump sum payment of the value-added tax and any other taxes (if any) relating to the purchase price to transferor. 12、本项目披露公告期即为尽职调查期，意向受让方一旦递交受让申请材料并且交纳交易保证金后，即视为已详细阅读并完全认可本次转让项目所涉资产评估报交易所备查文件所披露内容以及已完成对本项目的全部尽职调查，并自愿接受全部资产转让公告之内容，已完全了解与认可转让标的及相关交易条件、约定，自愿接受转让标的的全部现状及瑕疵，并愿意承担一切责任与风险，决定受让转让标的，一旦递交受让申请，不可撤销。 12. The announcement period is the due diligence period. The potential transferee has the right and obligation to inspect and fully understand the underlying asset. Once the potential transferee has submitted the application for acquisition and paid the security deposit, it shall be deemed to have fully understood and accepted the status and relevant provisions of the underlying asset, accepted all the status and defects of the underlying asset, and been willing to bear all responsibilities and risks. After being confirmed as the transferee, unless the aircraft suffers a total loss, the transferee shall not refuse to sign the Asset Transfer Agreement on the ground of not knowing the status and defects of the underlying asset, otherwise it shall be deemed as an event of default by the transferee. 13、受让方应自行承担费用投保的险种包括但不限于限额不低于约定金额的第三方责任险、航空承运人综合责任险，并应确保在交付日后的两年内，仍将转让方、转让方关于标的资产的融资方/信托方（如有）及其各自的管理人员、董事、雇员、代理人、关联人、继承人及受让人继续作为第三方责任险、航空承运人综合责任险的附加被保险人，并及时向转让方提供满足上述要求的保险凭证。 13. Transferee shall at its own expense, purchase the insurance of the Aircraft, including without limitation the third party insurance and comprehensive carrier liability insurance with agreed value. Transferee shall make sure that, within two years after the delivery date, Transferor, its financing party, trustee (if any), and their respective managers, directors, employees, agents, affiliates, successors continue to be named additional insured parties under the third party insurance and comprehensive carrier liability insurance. Transferee shall promptly provide Transferor with such insurance certificates that meet the above requirements. 14、受让方按适用法律法规的要求就以下事项独自承担责任及相关费用： 1) 交付后对飞机进行权利登记、飞机国籍登记证、飞机电台执照等变更； (2) 交付后飞机的运营、保险、维护、进出口（如有）等一切事宜。 14. Transferee shall, in accordance with applicable laws and regulations, be independently responsible for the responsibility and related expenses for the following matters: (1) Registration of the Aircraft with International Registry and change of Aircraft registration authority and aircraft radio license after Delivery. (2) Any issues in relation to the operating, insuring, maintaining, and importing or exporting (if applicable) of the Aircraft after Delivery. 15、意向受让方递交受让申请的同时，须递交如下书面承诺内容： 1）我方已详细阅读并完全认可本次转让项目所涉资产评估报**交易所备查文件所披露内容以及已完成对本项目的全部尽职调查，并自愿接受全部资产转让公告之内容，我方已完全了解与认可转让标的及相关交易条件、约定，自愿接受转让标的的全部现状及瑕疵，并愿意承担一切责任与风险，决定受让转让标的。我方成为受让方后，不得以不了解转让标的及转让标的的瑕疵等为由拒绝签订资产交易合同或拒付价款，否则视为违约。 2）我方已自行对照有关规定和要求，对自身受让资格条件进行了核查，并在自行咨询专业人士、相关方和监管机构的基础上判断已符合转让标的的受让资格，决定受让转让标的，自行承担由此产生的全部后果，包括费用、风险和损失。 3）我方同意，在签订资产交易合同后，我方可进行必要的购机检查，检查级别为一般目视检查（GVI）或取得转让方同意的其他检查项目，其费用由我方承担。 4）我方同意，除企业所得税和转让方印花税应由转让方承担以外，本次转让标的过程中所涉及的税费及相关费用由我方承担。 5）我方同意，交付后对标的资产进行权利登记、飞机国籍登记证、飞机电台执照等变更，以及交付后对标的资产的运营、保险、维护、进出口（如有）等一切事宜，均由我方独自承担责任及相关费用。 6）以上承诺不可撤销。 15. When submitting the Application for Acquisition, the potential transferee shall also submit a written undertaking as follows: 1) We have thoroughly read and fully accepted the asset appraisal on this project and the information disclosed therein, and have completed due diligence on the project. We are willing to accept all provisions of the Notice of Asset Transfer and have decided to acquire the underlying asset. We shall not refuse to sign the Asset Transfer Agreement on the ground of not knowing the status and defects of the underlying asset, otherwise it shall be deemed as an event of default by the transferee. 2) We have checked our qualifications in accordance with the requirements in the Notice of Asset Transfer, and based on our consultation with professionals, related parties and regulatory authorities, we confirmed that we are qualified to acquire the underlying asset. We have decided to acquire the underlying asset and bear all the resulting consequences, including costs, risks and losses. 3）We agree that we have the right to conduct necessary Pre-Purchase Inspection. The PPI procedure and work scope shall be limited to General Visual Inspection (GVI) or any other inspection item approved by the transferor, and all expenses related to the inspection shall be borne by us. 4) We agree that except for the enterprise income tax and stamp duty payable by the transferor, the taxes and fees arising from the transfer of the underlying asset shall be borne by us. 5) We agree that we will be independently responsible for the responsibility and related expenses for the following matters: (1) Registration of rights over the aircraft, change of aircraft nationality registration and aircraft radio license after Delivery. (2) Any issues in relation to the operating, insurance, maintenance and importing or exporting (if applicable) of the aircraft after Delivery. 6) The above commitments are irrevocable.
